Joanne is highly experienced in all aspects of corporate and commercial law. She advises international and Irish-based clients on corporate compliance and governance, mergers and acquisitions, reconstructions and amalgamations, shareholder agreements, private equity investments, commercial agreements, and alternative commercial disputes resolution.
She advises clients in many sectors, particularly automotive, retail distribution, fintech and non-life insurance. She also has wide-ranging experience advising entities in the voluntary sector on corporate compliance and advising charity trustees on the administration and governance of charitable organisations.
Based in Dublin, she works closely with our Media and Technology and Corporate Finance teams, and other specialists, in all of our other offices.
- Advising various private equity and institutional investors on investments in Irish-based SME’s and assisting with regard to funding structures and management buyouts.
- Advising an EV charger installation provider regarding proposed equity investments and commercial contracts and agreements pertaining to the provision of EV charging services, including contracts with State and semi-State bodies, management companies, shared living providers and hotel and leisure centre and shopping centre operators.
- Advising on the acquisition by a large motor distribution group of various international distribution franchises; on similar corporate transactions relating to the acquisition of motor distributor importers and retailers; and advisory work pertaining to import agreements, share and asset acquisition transactions and all relevant EU Block Exemption Regulations pertinent to exclusive distribution contracts.
- Advising on the sale of a solar PV provider of its business to an international power energy provider.
- Advising on the acquisition by a publicly quoted company of the Irish subsidiary entities as part of the wider acquisition of the group.
- Advising on the acquisition by a market leader in fire and carbon monoxide detection products of various businesses in Ireland as part of a growth and diversification strategy.
- Advising on the acquisition by an international media company of an Irish digital media group.
- Advising on the acquisition by an international technology payments provider of various Irish Fintechs.
- Advising on the transfers of share and various assets interests in media companies in Ireland and internationally.
- Advising government and other State bodies on corporate and commercial matters, including pertaining to transfers of guarantees and indemnities and relevant public administrative law issues relating to transfer of assets in the energy sector.
- Advice regarding compliance and prosecutions under the Companies Act 2014.
- Advising corporate clients in regard to appropriate notifications and applications for authorisation to the Central Bank of Ireland and pertaining to the requirements of the current fitness and probity regime.
- Advising corporate clients in regard to notifications to the Competition and Consumer Protection Commission regarding mergers and acquisitions and acting for clients in proceedings involving alleged breaches of competition law.
- Advising corporate clients in respect of defence of proceedings involving alleged breaches of health and safety legislation.
